Welcome to Maxy ("Maxy", "we", "us", or "our").

These Terms of Service ("Terms") govern your access to and use of the Maxy website, platform, chatbot services, APIs, dashboards, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use the Services.

If you are using Maxy on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

Maxy provides businesses with tools to create and deploy AI-powered chatbots and related business automation functionality.

The Services may include functionality such as:

• AI-powered chatbot responses.
• Document-based knowledge retrieval.
• FAQ and semantic search functionality.
• Lead generation and lead collection.
• Conversation flows.
• Usage tracking.
• Chatbot configuration and customization.
• Website chatbot embedding.

Features may vary depending on the subscription plan, configuration, availability, or future changes to the Services.

You must provide accurate and complete information when creating or using an account.

You are responsible for maintaining the confidentiality of your account credentials and for activities performed through your account.

You must notify us promptly if you believe your account has been accessed without authorization.

You may not create an account using false information or impersonate another person or organization.

Certain Maxy features are available only under paid subscription plans or other plans designated by Maxy.

Subscription plans may include limits relating to messages, tokens, features, chatbot usage, documents, or other resources.

Usage limits may be enforced automatically by the platform. When a limit is reached, certain functionality may become unavailable until the applicable usage period resets or the account is upgraded.

We may modify subscription plans, features, pricing, or usage limits from time to time. Where appropriate, changes to paid subscriptions will be communicated before they take effect.

If you subscribe to a paid Maxy plan, you agree to provide accurate billing information and pay applicable charges.

Subscription fees may be charged according to the billing period associated with your selected plan.

Taxes, transaction fees, or other charges may apply where required by applicable law or the payment provider.

If payment is unsuccessful or overdue, we may restrict, suspend, or terminate access to paid features after providing reasonable notice where appropriate.

You may provide or upload content to Maxy, including documents, FAQs, chatbot instructions, text, images, configuration data, and other materials ("Customer Content").

You retain ownership of your Customer Content, subject to the rights necessary for Maxy to provide the Services.

You grant Maxy a limited, non-exclusive right to process, store, reproduce, transmit, and otherwise use Customer Content solely as reasonably necessary to provide, maintain, secure, and improve the Services.

You are responsible for ensuring that you have all rights, permissions, and authorizations necessary to provide Customer Content to Maxy.

You are responsible for the documents, information, personal data, and other content that you upload, configure, or make available through Maxy.

You must not upload or process information through Maxy unless you have the legal right and necessary authorization to do so.

If you use Maxy to collect information from visitors to your website, you are responsible for providing appropriate privacy notices and obtaining any required permissions or consent.

Maxy uses artificial intelligence technologies to generate chatbot responses and perform document and FAQ retrieval.

AI-generated responses may occasionally be incomplete, inaccurate, outdated, or inappropriate.

You are responsible for reviewing AI-generated content before relying on it for important business, financial, legal, medical, employment, or other consequential decisions.

Maxy does not guarantee that every AI-generated response will be accurate, complete, or suitable for a particular purpose.

Maxy should not be used as a substitute for professional legal, medical, financial, or other professional advice.

You should not rely on Maxy as the sole basis for decisions that could materially affect a person's legal rights, health, employment, finances, safety, or access to essential services.

If you configure a chatbot for a sensitive or regulated use case, you remain responsible for ensuring that the use of the Services complies with applicable laws and professional requirements.

The Maxy platform, website, software, branding, design, trademarks, logos, source code, and other materials provided by Maxy are owned by or licensed to Maxy and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, license, reverse engineer, or create derivative works from the Maxy Services.

Nothing in these Terms transfers ownership of Maxy's intellectual property to you.

Depending on your subscription plan, Maxy may allow you to customize certain chatbot branding, colors, names, content, and configuration.

You are responsible for ensuring that any branding, logos, trademarks, or content you provide to Maxy does not infringe the rights of another party.

Maxy may integrate with or rely upon third-party services, including hosting, databases, artificial intelligence, embedding, payment, analytics, authentication, and other infrastructure providers.

Third-party services may have their own terms and privacy policies.

Maxy is not responsible for the independent operation, availability, or policies of third-party services.

We aim to keep Maxy available and reliable, but we do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

The Services may occasionally be unavailable because of maintenance, upgrades, technical problems, infrastructure failures, security incidents, or circumstances beyond our reasonable control.

We implement reasonable technical and organizational measures designed to protect the Services and information processed through them.

However, no online service or storage system can guarantee complete security.

You are responsible for maintaining the security of your account credentials and systems used to access Maxy.

You may stop using Maxy at any time, subject to any applicable subscription or payment obligations.

We may suspend or terminate access to the Services if you materially violate these Terms, misuse the Services, create a security risk, fail to pay applicable charges, or use the Services in a manner that may expose Maxy or others to legal or security risks.

Where reasonably possible, we may provide notice before suspension or termination, except where immediate action is necessary to protect the Services, users, or third parties.

Following termination, your right to access and use the Services will end.

Certain provisions of these Terms that by their nature should survive termination will continue to apply, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

Data retention and deletion following termination are governed by our Privacy Policy and applicable service requirements.

To the maximum extent permitted by applicable law, the Services are provided on an "as available" and "as is" basis.

Maxy does not guarantee that the Services will meet every requirement, operate without interruption, or produce completely accurate or reliable results.

We do not guarantee that AI-generated content, document retrieval, FAQ matching, or other automated functionality will always be accurate or complete.

To the maximum extent permitted by applicable law, Maxy will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Services.

This may include loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings.

Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Maxy and its officers, employees, contractors, and service providers from claims, damages, liabilities, losses, and expenses arising from:

• Your violation of these Terms.
• Your misuse of the Services.
• Your Customer Content.
• Your violation of another person's rights.
• Your failure to comply with applicable laws.

We may modify, update, add, or remove features of the Services from time to time.

We may discontinue certain features or services where reasonably necessary for operational, technical, security, business, or legal reasons.

We may update these Terms from time to time.

When material changes are made, we will update the "Last updated" date at the top of this page and may provide additional notice where appropriate.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

These Terms will be governed by the applicable laws of India, except to the extent that applicable law requires otherwise.

Any disputes relating to the Services or these Terms will be handled in accordance with applicable law.

Before initiating formal proceedings, the parties are encouraged to attempt to resolve disputes through good-faith communication.
